1. General provisions. 1.1. This Public Offer defines the terms of the Agreement in accordance with Article 641 of the Civil Code of Ukraine and is an official Public Offer (proposal) of Zuieva Diana Volodymyrivna (RNOKPP: 3349812166) (hereinafter - the Supplier), and addressed to those individuals who are temporarily or permanently residing or staying. on the territory of Ukraine and / or visit its website and / or pay for the offered services (hereinafter the Acceptor or Acceptors), enter into an Agreement on the provision of consulting services to the Acceptor.
1.2. Hereinafter, in the text of the Public Offer (Agreement), the Supplier and the Acceptor are collectively referred to as the Parties, and each separately as the Party.
1.3. Each Party guarantees to the other Party that it has the necessary capacity, as well as all the rights and powers necessary and sufficient for the conclusion and performance of the Agreement in accordance with its terms.
1.4. The text of the Public Offer (Agreement) and its Annexes, which are an integral part thereof, are always posted on the official website of the Supplier

2. Offer (Public offer) / Subject of the Agreement. 2.1. The subject of the Public Offer (Agreement) is the provision by the Supplier to the Acceptor for a fee of consulting services in electronic format, namely:
1) Access to text files that make up the course of the Supplier;
2) Access to electronic images, video and audio materials that make up the course of the Supplier (according to the text - materials of the Supplier);
3) Access to the Provider's group online courses, which include: video consultations, text materials, images, access to group chat, audio counseling and online webinars ;
4) Access to the Supplier's consulting webinars ;
5) Ability to copy materials contained in electronic video and audio materials that make up the course of the Supplier;
6) Direct consultation with the Acceptor Supplier.
All of the above, in aggregate or separately, constitute the services of the Supplier, which are the subject of this Agreement.
2.2. The Agreement is considered concluded and enters into force of the accession agreement from the moment the Client performs the actions provided for in paragraph 3.5. Of the Agreement, which means full and unconditional acceptance by the latter of all terms of the Agreement without any exceptions and / or restrictions in accordance with Art. 642 of the Civil Code of Ukraine.
2.3. 2.4. 3. The procedure for concluding the Agreement: 3.1. The contract is concluded between the Supplier and the Acceptor in the form of a connection agreement, as provided in Art. 634 of the Civil Code of Ukraine.
3.2. Acceptance (acceptance) of the Public Offer is the implementation by the Acceptor of any of the actions specified in clause 3.5 of the Agreement.
3.3. Acceptance (acceptance) of the Public Offer means full, unconditional and unconditional acceptance by the Acceptor of all terms of the Agreement without any exceptions and / or restrictions and is equated in accordance with Part 2 of Art. 642 of the Civil Code of Ukraine before the conclusion by the Parties of a bilateral written Agreement on the terms set forth in this Public Offer and its Annexes.
3.4. The conclusion of the contract means that the Acceptor:
1) has fully read and agreed with the terms of this Agreement;
2) Accepts all the terms of this Agreement and its Annexes without comments or objections;
3) Recognizes the qualification of the Supplier as a specialist in the field in which the services provided by this Agreement are provided;
4) Gives consent to the processing and storage of his personal data in accordance with the provisions of the Law of Ukraine "On Personal Data Protection" and recognizes them as obtained from open sources;
5) Allows the Supplier and its representatives to contact him regarding the provision of services specified in this Agreement;
6) Allows you to send advertising materials by means of communication of the Acceptor (from which the Acceptor has the right to refuse in the manner prescribed by the Agreement);
7) Allows the implementation of extracts from electronic correspondence of the Parties, in order to disseminate information about the activities of the Supplier in the field of services in compliance with the requirements of current legislation of Ukraine.
3.5. Acceptor in accordance with Art. 642 of the Civil code of Ukraine confirms the fact of acceptance (acceptance) of the Public offer after acquaintance with its conditions stated on a site of the Supplier by combined or separate performance of any of the following actions:
1) Payment for the services of the Supplier, in accordance with section 4 of the Public Offer;
2) Receipt of services or products of the Supplier;
3) Direct use by the Acceptor of the services provided by the Supplier;
4) Filling in the form on the Supplier's website;

3.6.1. Persons over the age of 14 - independently enter upon registration to receive services provided by the Provider personal data and information that are true.
3.6.2. Information and / or data on minors under the age of 14 (hereinafter - Children) are entered by their legal representatives (hereinafter - the Representative), who have the right to enter such data (hereinafter - the Responsible Person). The responsible person remains responsible for all actions of such Child in full and is fully responsible for the damage caused by the Child during the use of the services of the Supplier and for compliance by the Child with the terms of this agreement.
3.6.3. The supplier or his representatives have the right, in case of doubt about the age of the person, to require the presentation of the original identity card with a photograph issued by the competent public authority, indicating the date of birth of such person or birth certificate for persons under 16 years.
3.7. The term of acceptance of this Public Offer is unlimited.
3.8. After acceptance of the Public Offer, after payment by the Acceptor of the services provided by the Supplier, the Acceptor is granted access to the services of the Supplier and the right to receive such services under the conditions specified in the Agreement.
After registration and filling in the form on the Supplier's website, the Acceptor has the right to use the materials of the website, which are freely available.
After paying for the services of the Supplier, the Acceptor gets access to other materials, previously determined by him and the supplier.
3.9. By accepting this Agreement, each acceptor undertakes to comply with the terms of the Agreement and its Annexes, as well as the provisions of the legislation of Ukraine.
4. The order of calculations. 4.1. The Services provided by the Supplier are provided to the Acceptor on a free or paid basis in accordance with the terms of the Agreement and Tariffs, which are defined as Annex 1 to this Agreement, as well as specified on the Supplier's website (hereinafter - Tariffs).
The amount of free services provided by the Supplier is determined by the Supplier at its own discretion.
The scope of services provided on a paid basis and their cost is determined by the supplier at its discretion and reflected in the Tariffs.
4.1.2. The Acceptor understands and agrees that the Tariffs / Prices for the services provided by the Supplier and their list are determined and changed solely by the decision of the Supplier.
4.2. Acquaintance with the specified Tariffs is made by means of a site of the Supplier or specification of such Tariffs at the Supplier or its representatives by phone number or by means of other means of communication defined in the given Contract.
4.3. The right to use the Provider's services is granted after registration on the site for free services and after payment for paid services.
4.4. Having paid for the Provider's Services, the Acceptor has the right to use them indefinitely.
4.5. Payment by the Acceptor of the Supplier's services is made by means of the payment system " LiqPay " or by direct crediting of funds to the account provided by the Supplier.
5. The order of use of the site and services of the Provider. 5.1. Visiting the supplier's website is free of charge and free for any interested person.
5.2. Access to the Provider's services is provided free of charge or for a fee and under the conditions specified in this Agreement.
5.3. Access to the Supplier's services is provided in the manner specified in the Agreement.
5.4. The Acceptor is granted the right to use the services of the Supplier only for the purpose of personal development.
5.5. The Acceptor uses the services provided by the Supplier by examining the Supplier's test materials, images provided by the Supplier, reproducing the Supplier's audio and video materials, as well as attending the Supplier's webinars and other online events and, if necessary, in person with the Supplier.
5.6. The Acceptor is allowed to distribute materials provided by the Supplier, which are publicly available, in order to disseminate information about the Supplier and with a mandatory reference to the authorship of the Supplier.
5.7. The Acceptor is prohibited from distributing or reproducing the Supplier's materials under its own name.
5.8. The Acceptor is prohibited from using the Supplier's materials for commercial purposes and for personal enrichment without the direct consent of the Supplier.
5.9. If the Acceptor's actions cause damage to the Supplier, the Acceptor is obliged to compensate such damage and other losses incurred by the Supplier.
5.10. The Provider does not provide guarantees of professional or other development of the Acceptor as a result of using the Provider's Services.
5.11. Materials that are part of the provider's services and / or posted on its official website are the intellectual property of the supplier and are protected by the legislation of Ukraine.
5.12. In case the Acceptor violates the terms of the Agreement, the Supplier has the right to refuse the Acceptor to provide services or terminate the provision of services to the Acceptor.
5.13. The materials that make up the services of the Supplier are sent to the Acceptor by his means of communication specified when ordering such services.
6. Rights and obligations of the Parties. 6.1. The supplier has the right to:
6.1.1. Require the Acceptor to fully comply with the terms of the Agreement;
6.1.2. Refuse to perform the Agreement in case the Acceptor violates its terms;
6.1.3. Require the Acceptor to pay in full for their services;
6.1.4. Require from the Acceptor the information necessary for the provision of services under this Agreement;
6.1.5. For processing and storage of personal data of the Acceptor in accordance with the provisions of the Law of Ukraine "On Personal Data Protection" to ensure the implementation of this Agreement;
6.1.6. To make extracts from the electronic correspondence of the Parties, in order to disseminate information about the activities of the Supplier in the field of services in compliance with the requirements of current legislation of Ukraine;
6.1.7. To send advertising materials by means of communication of the Acceptor (from which the Acceptor has the right to refuse in the order established by the Agreement).
6.2. The supplier is obliged to:
6.2.1. Comply with the terms of the Agreement properly and in full;
6.2.2. After payment by the Acceptor for the services, provide him with access to the materials that make up the services of the Supplier;
6.2.3. In the case of a relevant request of the Acceptor, stop sending advertising materials by means of communication of the Acceptor;
6.2.4. To comply with the provisions of the legislation of Ukraine by their actions.
6.3. The acceptor has the right to:
6.3.1. Require Provider proper implementation of the Agreement and doderzhennya legislation of Ukraine;
6.3.2. In case of erroneous ordering of the Supplier's services, cancel or adjust such order in the manner prescribed by the Agreement;
6.3.3. Permanent access to materials that make up the services of the Supplier for a period separately determined by the Supplier when placing such materials;
6.3.4. Contact the Supplier at the agreed time for clarifications and consultations about its services as well as information contained in the Supplier's materials;
6.3.5. Correct up-to-date information regarding your means of communication to which materials that are part of the Provider's services should be sent;
6.3.6. If necessary, request electronic documents from the Supplier concerning the provision of its services in paper form.
6.4. the acceptor is obliged to:
6.4.1. Comply with the terms of the Agreement properly and in full;
6.4.2. To pay for the services of the Supplier in full in the manner and on the terms specified in the Agreement;
6.4.3. In case of difficulties with the use of the Supplier's materials, notify the Supplier to eliminate them;
6.4.4. Enter (notify) when registering to receive services provided by the Provider reliable personal data and information that is true.
7. Change and termination of the Agreement 7.1. The Supplier may make changes to this Agreement, which shall enter into force on the day following their publication on the Supplier's website, unless another date of entry into force of the changes is specified in addition to their introduction and publication.
7.2. The contract may be terminated:
1) by the Acceptor by refusing to receive the services provided by the Supplier;
2) the Supplier unilaterally, without refunding the funds paid by the Acceptor, in case of violation by the latter of the provisions of this Agreement and / or its Annexes;
7.3. In case of breach by the Acceptor of the terms of this agreement, and as a consequence of its unilateral termination by the Supplier, the funds paid by the Acceptor shall not be refunded except in the cases directly established in this Agreement.
8. Dispute resolution. 8.1. All disputes and disagreements that arise or could arise in connection with this Agreement shall be resolved through negotiations on the basis of a written statement of the Acceptor with the addition of reliable information on payment for services rendered.
8.2. Upon receipt of the complaint from the Acceptor, the Supplier is obliged to consider the complaints and requirements stated by the Acceptor within 20 days and send him a reasoned response.
8.3. In the event that the dispute is not resolved in a claim, either party has the right to apply for resolution of the dispute in court at the location of the Supplier.
9. Liability for breach of contract. 9.1. The Acceptor bears full material and personal responsibility for violation of the terms of the Agreement and / or its Annexes in accordance with the provisions of the agreement and the current legislation of Ukraine.
9.2. In case of inflicting any damages to the Supplier, due to the fault of the Acceptor, he is obliged to fully compensate the material damage, and the Acceptor bears other liability under the laws of Ukraine.
9.3. The Supplier shall not be liable for damage caused to the Acceptor as a result of an accident, injury or any other damage caused by the negligence of the Acceptor and / or third parties and / or due to non-compliance and / or improper performance of the Agreement and its annexes.
10. Other provisions. 10.1. The Acceptor guarantees that all the terms of this Agreement are clear to him and he accepts them unconditionally and in full. This Agreement is concluded by acceptance of the Acceptor, this Public Offer, which contains all the essential terms of the agreement, under the conditions specified in paragraph 3.5 without signing by the parties and without specifying the personal data of the Acceptor.
10.2. Performance by the Acceptor of the actions provided for in clause 3.5. of this Agreement is a confirmation that he is familiar with this Agreement and fully agrees with its provisions.
10.3. In cases not regulated by this Agreement, the Supplier and the Acceptor undertake to be guided by the current legislation of Ukraine.
10.4. The agreement is drawn up in Ukrainian as the only state language in Ukraine.
